Consignment Contract

The parties hereby agree as follows: (Vendor please initial each article)
1.The host agrees to display, for sale within Art Attack, the vendor’s products for a period
of ______ months in return for a commission of 40% for all vendor’s items sold and no
monthly rent. This agreement is valid for the dates of ________ to ________.

2. The host agrees that the vendor will determine the retail value of each item and
provide merchandise tagged with such pricing by the host. ( )initial
3. The host agrees to provide monthly statements of commission paid and products sold.

4.If at the end of the contract, both parties agree to renew, another contract will be

5.The host and vendor agree not to change the commission rate at any time during this
contract. ( )initial
6. It is the responsibility of the host to collect appropriate sales tax, and the vendor will file
appropriate income tax. ( )initial
7. Vendor is responsible for all pick-up and removal from Art Attack and insurance of
merchandise to an from the host. ( )initial
8. Vendor will provide host with a detailed inventory sheet for all merchandise sent to host
for consignment. ( )initial
9.Either party may terminate this agreement for failure to follow arrangements outlined in
this agreement. If contract is terminated vendor must pick-up all merchandise within 15
days of termination date and host will supply a check at that time for all pieces sold.

10. The host agrees to issue a check for vendor’s items that sold in the store within
30days of sale of item. ( )initial
11.The vendor agrees to inform the host of any change in mailing address, e-mail
address or telephone number within 2 days of such change.
12.Host agrees to notify vendor of any change in store location, mailing address,
shipping address, e-mail address or telephone number within two days of such a change.

13.The host will carry liability insurance for inventory. ( )initial
14.In making and performing this agreement, each party acts and shall act at all times as
an independent contractor and nothing contained in this agreement shall be construed
as creating between the parties a partnership, agency, employer-employee or joint

15.This agreement is accepted by the host in Somerville and shall be interpreted in
accordance with the laws of the state of MA.
